COMPREHENSIVE TERMS AND CONDITIONS FOR ADVERTISING SERVICES

This Agreement governs the provision of advertising services by ROJA TV, a local/regional television broadcasting entity ("The Broadcaster," "We," "Us," or "Our"), operating the website https://tv.rojadigital.com ("The Website"). These Terms and Conditions ("Agreement") are legally binding upon any entity ("The Advertiser" or "You") purchasing advertisement packages for broadcast or promotion.

BY SUBMITTING ADVERTISING CONTENT AND ENGAGING OUR SERVICES, YOU EXPLICITLY ACCEPT AND AGREE TO BE BOUND BY ALL STIPULATIONS CONTAINED HEREIN.

1. ARTICLE I: DEFINITIONS AND SCOPE OF SERVICE
1. The Broadcaster: Refers to ROJA TV, the owner and operator of the television channel and The Website.
2. The Website: Refers exclusively to the URL https://tv.rojadigital.com, which lists all available Advertisement Packs.
3. Advertisement Packs: The specific pricing, duration, and frequency options for advertising, as listed exclusively on The Website. These packs are the sole property of ROJA TV.
4. Advertising Content: Any visual, audio, or textual material provided by The Advertiser for broadcast or promotion.
2. ARTICLE II: PLATFORMS AND BROADCAST COMMITMENT
1. Exclusive Broadcast Commitment (Telecasting):
   1. The advertising services purchased shall be exclusively telecasted on "ROJA TV" (the official television channel).
   2. Broadcast is strictly limited to the distribution networks and platforms of our channel as explicitly shown, listed, or referenced on The Website at the time of purchase.
2. Social Media Promotion: Any included social media promotion will be executed only through The Broadcaster's official page, "ROJA DIGITAL," on the specific Meta (e.g., Facebook, Instagram) and Google (e.g., YouTube) platforms. No promotion is guaranteed on any other third-party accounts or platforms.
3. ARTICLE III: DISCLAIMER OF GUARANTEES AND LIMITATION OF LIABILITY

CRITICAL PERFORMANCE DISCLAIMER: NO GUARANTEE OF COMMERCIAL SUCCESS

3.1. AFFIRMATIVE GUARANTEE (EXPOSURE):
The Broadcaster guarantees only one thing: that your Advertising Content will be broadcast to the public and made visible according to the purchased Advertisement Pack to make the public aware of your business/shop/any mean you advertise.

3.2. EXPLICIT DISCLAIMER (SALES/PROFIT):
THE BROADCASTER DOES NOT AND CANNOT GUARANTEE, WARRANT, OR PROMISE ANY CONFIRMED PROFIT, SALES REVENUE, INQUIRY CALLS, OR ANY SPECIFIC COMMERCIAL SUCCESS WHATSOEVER. The Advertiser fully acknowledges that all outcomes, including sales or profit, are dependent on factors outside the control of the Broadcaster.

3.3. WAIVER OF CLAIMS:
The Advertiser waives any and all claims against The Broadcaster arising from or related to any perceived lack of sales, calls, profits, or specific commercial outcomes resulting from the Advertising Services.

4. ARTICLE IV: CONTENT CONTROL AND INDEMNIFICATION
1. Right of Refusal and Modification (Editorial Control): The Broadcaster reserves the absolute and final right to review, reject, or require modification of any Advertising Content for any reason, including, but not limited to, concerns over legality, decency, technical quality, or conflict with other programming.
2. Warranties by Advertiser: The Advertiser warrants that they are the legal owner of all rights, licenses, and permissions necessary for the broadcast of the Advertising Content, including all copyrights, trademarks, and intellectual property.
3. Indemnification: The Advertiser shall fully defend, indemnify, and hold harmless ROJA TV and its officers against any and all losses, damages, liabilities, and legal fees arising from any claim related to the Advertising Content (e.g., claims of libel, copyright infringement, slander, or misleading content).
5. ARTICLE V: BROADCAST SCHEDULING AND TECHNICAL DISCRETION
1. Scheduling Discretion: While The Broadcaster agrees to air the advertisements for the frequency stipulated in the Advertisement Pack, The Broadcaster retains final and sole discretion over the specific day, time, and positioning of all advertisements within the broadcast schedule.
2. Technical Standards: The Broadcaster reserves the right to make minor technical adjustments to the Advertising Content (e.g., volume normalization, file conversion) to meet necessary transmission standards without prior Advertiser approval.
6. ARTICLE VI: FORCE MAJEURE AND SERVICE INTERRUPTION
1. Force Majeure: The Broadcaster shall not be liable for any failure or delay in performance (including broadcast interruption) due to unforeseen circumstances or causes beyond its reasonable control, including but not limited to: natural disasters, technical failures, governmental actions, power outages, or civil unrest.
2. Remedy for Interruption: In the event of a material and sustained service interruption, The Broadcaster's sole obligation shall be limited to granting the Advertiser equivalent make-goods (additional broadcast time) corresponding to the time lost, at a mutually agreeable schedule.
7. ARTICLE VII: GENERAL PROVISIONS
1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Tamil Nadu, India.
2. Entire Agreement: This Agreement constitutes the entire understanding between The Broadcaster and The Advertiser, superseding all prior agreements or discussions.
